Overview:
We are seeking a Senior Associate Lawyer with a minimum of 5 years of experience to join our fast-growing practice in Burlington.The ideal candidate brings an understanding of business perspectives, an entrepreneurial mindset and diverse experience in business law, including corporate/commercial, not-for-profit/charity, and securities. In this role, you will immediately assume client responsibilities within a collaborative team environment dedicated to exceptional client service.
Key Responsibilities & Requirements:
- Manage a diverse range of corporate commercial matters with proficiency, catering to clients of varying sizes and industries.
- Provide legal and strategic guidance on business creation and reorganization to help businesses optimize their structures for growth, efficiency and compliance.
- Assist clients in growth strategies, including corporate expansions, partnerships, and funding initiatives.
- Advise on mergers and acquisitions (M&A), including structure, due diligence, negotiation and implementation
- Support charitable organizations and not-for-profits, advising on regulatory requirements and governance.
- Navigate dispute resolution, both in using negotiation to solve disputes, and when necessary, providing strategic corporate legal counsel in litigation, arbitration, and alternative dispute resolution contexts.

Role Overview
We are seeking a full-time, Corporate and Charity Law Clerk to join our Burlington office. In this role, you will provide essential legal and administrative support to our team of lawyers handling corporate and commercial transactions and advising charities. Your responsibilities will include client interaction, correspondence, preparing and filing corporate and legal documents, maintaining corporate records, and other related tasks.
Key Responsibilities
- Draft and prepare various corporate documents, including Articles of Incorporation, By-Laws, Shareholder Agreements, and other legal corporate documents.
- Maintain and update corporate records and filings.
- Conduct legal research on corporate issues and assist with due diligence.
- Assist in the preparation of documents for corporate transactions, mergers, and acquisitions.
- Handle administrative duties such as managing schedules, correspondence, and filings.
- Ensure compliance with all relevant corporate and legal regulations.
- Assist in charitable applications and advising charities on compliance.
Attributes, General & Technical Skills:

- Strong attention to detail and accuracy.
- Post-secondary diploma or degree in Law Clerk studies, Business Administration, or a related field.
- 2-3 years of experience in a corporate law firm or legal department, in a similar role.
- Strong knowledge of corporate legal documents, including Articles of Incorporation, By-laws, Shareholder Agreements, and other related documents.
- Proficient in Microsoft Office Suite (Word, Excel, Outlook) and legal management software (e.g., PCLaw, Soluno, Netdocs, MinuteBox, Legal Suite, or similar).
- Strong attention to detail and accuracy.
- Ability to work independently.
Preferred Qualifications
- Completion of a Law Clerk Diploma or equivalent certification.
- Experience in corporate practice areas such as mergers and acquisitions, securities, corporate finance, or commercial transactions.
